These Terms of Service ("Terms") form a binding agreement between you and AbridgeRx, LLC and doing business as (DBA) AbridgeRx (referred to this document as "AbridgeRx”, "we", or "us"). These Terms govern your use of the website at www.abridgerx.com or related websites/mobile applications (collectively, the "Site"), and the purchase or use of products and services ("Products") provided by us, including but not limited to custom prescription medications.

By using the Site, purchasing Products, or providing us with personal information, you signify your acknowledgment and agreement to these Terms and our Privacy Notice. If you do not agree, please do not use the Site.

• Registration: You must provide accurate, current, and complete information when creating an account ("Account"). You agree to maintain and promptly update this information to keep it true, accurate, current, and complete while using the Site. If we suspect that such information is not accurate, we reserve the right to deny or terminate your access to the Site, subject to applicable law.
• Account Security: You are responsible for maintaining the confidentiality of your Account's password and username and are fully responsible for all activities that occur under your Account. If you become aware of any unauthorized use of your Account or any other breach of security, you must notify us immediately.

• License Grant: We grant you a limited, non-exclusive, non-transferable, freely revocable license to use the Site for your personal or professional use (if you are a Healthcare Provider), as permitted by these Terms. AbridgeRx reserves all rights not expressly granted to you.
• Restrictions: You may not:
• Infringe the patent, trademark, trade secret, copyright, or other intellectual property or rights of another person.
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site.
• Reverse engineer, disassemble, decompile, or translate any components of the Site or attempt to derive the source code.
• Modify, copy, or make derivative works based on any part of the Site or underlying software, technology, or other information.
• Use any robot, spider, or other automatic device to obtain information from the Site or monitor or copy any portion of the Site.
• Systematically collect or use any content from the Site through data mining or similar data gathering methods.
• Disrupt or interfere with the operation of the Site, disobey network policies, or support the transmission of spam or other unsolicited communications.
• Upload harmful software like viruses or attempt to disable security tools.
• Use high volume, automated means to access the Site or create links to, frame, or mirror our content.

• Patient Responsibilities: If you are a patient using our Site, notify us and your Healthcare Provider immediately if you experience any adverse events related to any Prescription Product.
• Healthcare Provider Responsibilities: If you are a Healthcare Provider using our Site and become aware of any adverse events related to a Prescription Product, direct the patient to report it accordingly.
• General Conduct: Notify us immediately of any inaccuracies or errors on the Site, refrain from using offensive language, ensure secure access to the Site, and do not share your Account details.

Individuals under eighteen (18) years of age are not eligible to use the Site or Products unless supervised by a parent or legal guardian. Parents or guardians can prohibit such use by contacting us at support@abridgerx.com.

• Payment Obligations: If you use features or purchase Products that require payment, you agree to pay all fees and taxes associated with these transactions. All fees are in U.S. Dollars, and payment processing is facilitated by third-party payment processors. You authorize us to charge your provided payment method for all applicable fees.
• Automatic Refills: By opting into automatic refills, you authorize charges for your Prescription Medication at the intervals specified in your Account.
• Payment Issues: If your payment method fails or fees are past due, we may use other collection mechanisms.
• Cancellation of Payment Authorization: You may cancel payment authorizations at any time by removing your payment method from your Account or by contacting us.

Shipping and returns are subject to our policy. Returns are only accepted as permitted by this policy. See our Privacy Policy for how we handle your shipping-related information.

• Ownership: All software, content, and proprietary methods used in the Site ("Intellectual Property") are copyrighted by AbridgeRx or its licensors. You may not use this Intellectual Property without our written consent.
• Trademarks: Certain names, logos, and other materials displayed on the Site constitute trademarks ("Marks") owned by AbridgeRx or others. You are not authorized to use these Marks.

• By You: You may deactivate your Account by emailing support@abridgerx.com.
• By Us: We may terminate your Account or access to the Site at any time, for any reason, subject to applicable law. Provisions of these Terms that by their nature should survive termination will survive.

USE OF THE SITE AND ALL PRODUCTS IS AT YOUR SOLE RISK. THE SITE AND PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. ANY MATERIAL OR DATA DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SITE IS AT YOUR OWN DISCRETION AND RISK.

TO THE EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US OR $100.

You agree to indemnify, defend, and hold harmless AbridgeRx, its officers, directors, employees, consultants, representatives, and agents from any claims, damages, or losses arising from your use of the Site or Products, violations of these Terms, or infringement on others' rights. You release us from any claims related to your use of the Site or Products.

We will not be liable for any failure or delay in our performance under these Terms when caused by or resulting from acts beyond our reasonable control, including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion or hostilities, terrorist threats or acts, riot or other civil unrest, national emergency, revolution, insurrection, epidemic, lockouts, strikes or other labor disputes (whether or not relating to our workforce), or restraints or delays affecting carriers, inability or delay in obtaining supplies of adequate or suitable materials, materials or telecommunication breakdown or power outage.

These Terms are governed by the laws of the State of Illinois without regard to its conflict of law provisions. Any dispute arising out of these Terms will be resolved by binding arbitration in Cook County, Illinois, under the rules of the American Arbitration Association, except for claims related to intellectual property rights or seeking injunctive relief, which can be brought in court in Cook County, Illinois.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

We may assign our rights and obligations under these Terms to another party in the event of a merger, acquisition, or sale of assets. You may not assign your rights under these Terms without our written consent.

These Terms, along with our Privacy Notice and Shipping and Return Policy, constitute the entire agreement between you and AbridgeRx regarding the Site and Products.

We reserve the right to amend these Terms. Changes will be posted on the Site, and your continued use of the Site signifies your acceptance of any changes.

The Site is intended for use only by persons located in the United States. If you access the Site from outside the U.S., you do so at your own risk and are responsible for compliance with local laws.
