PHYSICIAN SERVICES AGREEMENT

This Physician Services Agreement (“Agreement”), effective upon your creation of a physician account on the AbridgeRx platform by agreeing to the statement “I have read and agree to the AbridgeRx Business Associate Agreement, Physician Services Agreement, Terms of Service, and Privacy Policy,” is made between RemedyRx LLC, doing business as AbridgeRx (“AbridgeRx,” “we,” or “us”), and you, the physician (“Physician”).

WHEREAS, AbridgeRx operates a software platform that connects licensed physicians and their existing patients with compounding pharmacies to facilitate the prescribing, fulfillment, and delivery of custom medications and care plans; and

WHEREAS, Physician wishes to use the AbridgeRx platform to prescribe medications and provide care plans for their patients, subject to the terms herein.

NOW, THEREFORE, AbridgeRx and Physician agree as follows:

Introduction
AbridgeRx is a software platform, not a medical provider, that enables Physicians to prescribe custom medications and provide care plans to their existing patients, fulfilled by compounding pharmacies (e.g., Curexa Pharmacy). Physician is an independent contractor, not an employee, agent, or partner of AbridgeRx.

Physician Services
a. Prescriptions: Physician shall prescribe medications through the AbridgeRx platform in accordance with applicable federal and state laws, medical board regulations, and their professional specialty. Prescriptions are sent to the pharmacy only after patient payment, which Physician can monitor in the AbridgeRx Physician Portal.
b. Medication Instructions: Physician shall provide medication instructions or review and approve AbridgeRx’s default instructions for each prescription. Physician may enter custom medication instructions as needed.
c. Care Plans: Physician shall review and approve care plan messages sent by AbridgeRx on their behalf to patients, ensuring quality and relevance. Physician may enable or disable care plans at the patient medication level during prescription creation.
d. Timeliness: Physician shall submit prescriptions, instructions, and care plan approvals promptly to facilitate pharmacy fulfillment.
e. Compliance: Physician shall maintain active licensure, comply with DEA and telehealth regulations, and obtain patient consent for treatment and permission for initial communications sent by AbridgeRx to offer the ability to purchase the medication and care plan.

Payment Structure
a. Care Plan Fee: Physician may choose to charge a care plan fee, set at a default of $10 or adjusted at Physician’s discretion to reflect fair market value, or waive it entirely. AbridgeRx pays Physician 100% of any care plan fee collected from patients. Physician agrees that this is a noncovered service not billable by insurance.
b. Medication Cost: AbridgeRx collects the medication cost for the dispensing and fulfillment services according to our partner pharmacies rates by medication and pays 100% to the compounding pharmacy.
c. Platform Fee: AbridgeRx retains a fixed platform fee from each patient transaction along with a variable platform fee to cover applicable taxes and payment processing costs, which does not affect Physician’s care plan fee.
d. Payouts: AbridgeRx pays care plan fees weekly via Stripe Connect, subject to any disputes resolved by contacting support@abridgerx.com.
e. No Insurance: AbridgeRx does not accept insurance or government programs (e.g., Medicare, Medicaid), and Physician shall not bill such programs for services provided through the platform.

Physician Obligations
a. Accuracy: Physician shall provide accurate DEA and NPI numbers during account creation and update AbridgeRx of any changes.
b. Licensure: Physician shall maintain active licensure in all states where they prescribe and notify AbridgeRx immediately of any disciplinary actions or license changes.
c. Patient Consent: Physician acknowledges that patients agree to AbridgeRx’s Terms of Service, Privacy Policy, and HIPAA Care Plan Authorization, which authorizes AbridgeRx to send care plan messages on Physician’s behalf. Physician shall ensure patients consent to treatment and communications.
d. Quality Standards: Physician shall adhere to professional standards for prescribing, medication instructions, and care plan approvals, ensuring compliance with applicable laws.

Term and Termination
a. Term: This Agreement is effective upon account creation and continues until terminated.
b. Termination: Either party may terminate this Agreement immediately for any reason by notifying the other party (Physician via support@abridgerx.com, AbridgeRx via email to Physician’s registered address).
c. Effect of Termination: Upon termination, Physician shall cease prescribing through the platform. AbridgeRx shall pay any outstanding care plan fees within 30 days. Physician shall comply with the Business Associate Agreement regarding PHI handling (e.g., return or destruction).
Compliance with Laws
Physician shall comply with all applicable federal and state laws, including those governing medical practice, telehealth, and physician payments. Physician’s PHI obligations are governed by the Business Associate Agreement.

Indemnification and Liability
a. Indemnification: Physician shall indemnify AbridgeRx, its officers, and agents from claims arising from Physician’s prescribing, medication instructions, care plan approvals, additional services, or breaches of this Agreement.
b. Liability: AbridgeRx’s liability to Physician is limited to the amount of care plan fees paid to Physician under this Agreement.

Governing Law
This Agreement is governed by the laws of the State of Illinois, without regard to conflict of law principles. Any disputes shall be resolved via arbitration under the American Arbitration Association rules.

Entire Agreement
This Agreement, together with the Business Associate Agreement, Terms of Service, and Privacy Policy, constitutes the entire agreement between AbridgeRx and Physician, superseding any prior agreements. Any amendments to this agreement must be in writing and signed by both parties.
